Terms of sale

1. Purpose and scope

Numersalis (SIREN 940 903 784, training provider registered under no. 11 91 10998 91) offers professional training actions, engineering services and software development. Any order implies unreserved acceptance of these terms of sale. Engineering and development services are additionally covered by a quote or contract specifying scope, deliverables and milestones.

2. Ordering and training agreement

Every course gives rise to a training agreement (or a training contract for private individuals) stating the title, objectives, syllabus, dates, venue, format, number of participants and price. The order is firm on receipt of the signed agreement. A period of 14 days is required between signature and the start of the course, unless otherwise agreed.

3. Prices

Course prices are stated in euros excluding VAT, per day and per group (up to 8 participants), excluding the trainer's travel and accommodation expenses where these are invoiced separately and stated in the quote. Applicable prices are those in force on the order date; they appear on each course page and in the quote. Engineering services are invoiced on a fixed-price or time-spent basis as stated in the quote.

4. Payment

Invoices are payable within 30 days of their date, by bank transfer. A deposit may be requested at the time of ordering. Where an OPCO funds the course, the customer applies before the start of the course and informs Numersalis; if funding is refused or partial, the balance remains payable by the customer. Late payment automatically incurs penalties at three times the French legal interest rate and a fixed recovery indemnity of €40.

5. Cancellation, postponement and withdrawal

• By the customer: any cancellation must be notified in writing. More than 10 working days before the start: no charge. Between 10 and 3 working days: 50% of the course price. Less than 3 working days or no-show: 100%. One postponement without charge is possible, to an agreed date, if requested more than 10 working days before the session.
• By Numersalis: if the trainer is unavailable or in case of force majeure, Numersalis offers a new date; failing agreement, sums paid are refunded, to the exclusion of any other compensation.
• Withdrawal during the course: the course remains payable in full, except in duly justified cases of force majeure.

6. Delivery and attendance

Participants sign an attendance sheet per half-day (or a connection log for online courses). A certificate of completion is given to each participant. The customer ensures that participants meet the stated prerequisites and, for software courses, have the necessary workstations and licences.

7. Intellectual property

Course materials, syllabi and learning resources remain the property of Numersalis; they are for the personal use of participants and may not be reproduced or distributed without written permission. For engineering and development services, deliverables (models, source code, reports) are transferred to the customer after full payment, unless the quote states otherwise.

8. Confidentiality and personal data

Each party undertakes not to disclose the other party's confidential information learned in the course of the service. Personal data is processed in accordance with our privacy policy.

9. Liability

Numersalis is bound by a best-efforts obligation. Its liability is limited to the amount of the service concerned; it cannot be held liable for indirect damage (loss of business, data or opportunity).

10. Complaints, applicable law and disputes

Any complaint may be sent to info@numersalis.com; Numersalis replies within 15 days. These terms are governed by French law. Failing an amicable settlement, any dispute falls within the jurisdiction of the courts of Numersalis' registered office.
